Terms of Service
Last updated: October 29, 2026
These Terms of Service ("Terms") are an agreement between you and Papier ("Papier", "we", "us") governing your access to and use of usepapier.io, the Papier workspace, API, SDK, CLI, and related services (the "Service"). By creating an account or using the Service you agree to these Terms. If you accept them for an organization, you confirm you have authority to bind it, and "you" includes that organization.
1. Accounts
You must provide accurate information, be at least 18 (or the age of majority where you live), and keep your credentials and API keys secure. You are responsible for activity under your account and for the actions of members you invite. Notify us promptly of any unauthorized use. Organization administrators control membership and roles.
2. The Service
Papier provides tools to design, version, and render message templates and to connect them to your application. Papier does not itself guarantee delivery of messages. Delivery depends on the third-party providers or adapters you configure, and a successful render or provider acceptance is not proof of delivery. We may add, change, or remove features, and will give reasonable notice of material reductions where practical. Features marked beta or preview are provided as-is and may change.
3. Your content and data
You retain all rights in the templates, assets, data, and other content you submit ("Customer Content"). You grant us a limited, worldwide license to host, process, transmit, and display Customer Content solely to provide, secure, and support the Service and as described in our Privacy Policy. You represent that you have all rights and lawful bases needed to submit Customer Content, including recipient personal data, and that your use complies with applicable law. Where we process personal data for you, we do so on your instructions as described in the Privacy Policy and any data processing agreement we have agreed with you.
4. Acceptable use
You will not, and will not allow others to:
- send spam, unsolicited bulk messages, or messages to recipients who have not consented where consent is required (including under CAN-SPAM, GDPR/ePrivacy, CASL, and similar laws);
- send phishing, malware, deceptive or impersonating content, or content that is illegal, infringing, harassing, hateful, or sexually exploitative;
- use the Service to circumvent a provider's rules or to send messages without honoring unsubscribe requests;
- probe, disrupt, overload, or gain unauthorized access to the Service or other customers' data, or bypass rate limits or access controls;
- reverse engineer the hosted Service except as permitted by law, or resell it without our written consent;
- use the Service to build a competing product by scraping or copying it;
- upload personal data of a kind you are not permitted to process, such as payment card numbers or government identifiers, unless we have agreed in writing.
We screen content and sending activity for abuse. We may review flagged activity, and may suspend sending, restrict, or terminate accounts that appear to violate these Terms, with or without prior notice where needed to protect the Service, recipients, or third parties. Organizations we verify as trusted may be exempt from some automated screening; that status can be removed at any time.
5. Third-party services
The Service integrates with third parties such as email providers, payment processors, and AI model providers. Your use of those services is governed by their terms, and we are not responsible for them. If you use AI-assisted features, you are responsible for reviewing generated output, which may be inaccurate, before use.
6. Fees and billing
Paid plans are billed in advance through our payment processor at the prices shown when you subscribe, and renew automatically until cancelled. You authorize us to charge your payment method, including applicable taxes. Fees are non-refundable except where required by law or stated otherwise. You can cancel at any time and the cancellation takes effect at the end of the current billing period. We may change prices with at least 30 days' notice before your next renewal. Overdue accounts may be downgraded or suspended.
7. Our intellectual property
The Service, including its software, design, documentation, and trademarks, belongs to Papier and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. Our published client SDK and CLI are licensed under the license stated in their packages. If you give us feedback, you grant us a free, perpetual license to use it without obligation.
8. Confidentiality and security
Each party will protect the other's non-public information with reasonable care and use it only for the purposes of these Terms, except where disclosure is required by law. We maintain reasonable administrative, technical, and organizational safeguards, as described in the Privacy Policy. You are responsible for securing your own systems, API keys, and provider credentials.
9. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, if your use poses a security or abuse risk, or for non-payment. On termination your right to use the Service ends. You may export your Customer Content for a reasonable period after termination if you ask us, after which we may delete it as described in the Privacy Policy. Sections that by nature should survive (including 3, 7, 10, 11, 12, and 13) survive termination.
10. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that messages will be delivered, received, or not filtered as spam. Nothing in the Service is legal advice, including any guidance on email regulations.
11. Limitation of liability
To the maximum extent permitted by law, Papier will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service. Our total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the 12 months before the event giving rise to the claim and US $100. These limits do not exclude liability that cannot be excluded by law, such as for fraud or willful misconduct.
12. Indemnification
You will defend and indemnify Papier and its personnel against third-party claims, losses, and reasonable costs (including legal fees) arising from your Customer Content, your messages and your recipients' complaints, your breach of these Terms, or your violation of law or third-party rights.
13. General
- Changes. We may update these Terms. For material changes we will give at least 14 days' notice by email or in the workspace. Continued use after the effective date means you accept them. If you disagree, stop using the Service.
- Governing law and disputes. These Terms are governed by the laws of the jurisdiction in which Papier is established, without regard to conflict-of-law rules, and the courts of that jurisdiction have exclusive jurisdiction, except where mandatory consumer law provides otherwise. Before filing a claim, please contact us so we can try to resolve it informally.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms, together with the Privacy Policy and any written agreement we sign with you, are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may notify you by email or in the workspace. Send notices to us at support@usepapier.io.
